By accessing or using the Smartbits file transfer service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Smartbits provides a secure file transfer platform that allows authorized users to send and receive files through their organization's portal. Files are stored temporarily and automatically deleted after 7 days.

3. Eligibility

The Service is available to individuals who have been authorized by their organization. You must provide a valid email address associated with a registered organization to access the Service.

4. Acceptable Use

You agree not to use the Service to:

• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Transmit files containing viruses, malware, or other harmful code.
• Infringe upon intellectual property rights of any third party.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Use the Service for any commercial purpose not expressly authorized.
• Circumvent any security measures or access restrictions.

5. File Transfers

• You are solely responsible for the content of files you upload and transfer.
• Files are retained for a maximum of 7 days after upload, after which they are permanently deleted.
• We reserve the right to remove any files that violate these Terms without notice.
• Maximum file sizes and transfer limits are determined by your organization's configuration.

6. Email Verification

To ensure the security of transfers, senders may be required to verify their email address before sending files. You agree to provide accurate and current email information.

7. Intellectual Property

The Service, including its design, features, and content (excluding user-uploaded files), is owned by Smartbits and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind.
• We do not guarantee uninterrupted, secure, or error-free operation of the Service.
• We are not liable for any loss or damage arising from your use of the Service, including loss of data, revenue, or business opportunities.
• Our total liability shall not exceed the amount you have paid for the Service (if any) in the 12 months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

10. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Smartbits operates, without regard to conflict of law provisions.
